Subsea 7 S.A. Notice of 2015 Annual General Meeting of Shareholders and Extraordinary General Meeting of Shareholders

Luxembourg – 17 March 2015 – Subsea 7 S.A. (Oslo Børs: SUBC) (the Company) today published and distributed to eligible holders of Common Shares and American Depositary Receipts the Notice of Meeting and supporting materials for both the 2015 Annual General Meeting of Shareholders (the AGM) and the Extraordinary General Meeting of Shareholders (the EGM), both to be held on 17 April 2015.  

The 2015 AGM is scheduled to take place at 15:00 (local time) on 17 April 2015 at the Company’s registered office, 412F, route d’Esch, L-2086 Luxembourg and the EGM will take place immediately thereafter.

The Notice of the meetings and supporting materials, including the full text of the proposed new Articles of Incorporation as well as copies of the 2014 statutory and consolidated financial statements of Subsea 7 S.A. which includes the Reports of the Board of Directors and Authorised Statutory Auditor’s Reports can be found on the Company’s website: http://www.subsea7.com

Holders of Common Shares and American Depositary Receipts of record at the close of business on 10 March 2015 will be entitled to vote at the AGM and EGM. In addition for both the AGM and EGM, the deadline for submission of votes for holders of American Depositary Shares is 8 April 2015 and for holders of Common Shares is 10 April 2015.
